Wyoming LLC for Ecommerce Sellers

By Zawwad Ul Sami, Founder · Updated August 16, 2026

An online store generates a specific set of claims: a product that injures someone, a trademark complaint from a brand you did not know you were infringing, a supplier dispute, a run of chargebacks that a processor decides to hold you personally responsible for. A Wyoming LLC puts an entity between those claims and your personal assets, and gives every payment platform a business identity to onboard instead of your Social Security number. This page covers what the structure does, what each platform needs from it, and the tax obligations it does not remove.

Quick Answer

An ecommerce seller forms a Wyoming LLC for liability separation, privacy, and a business identity for Stripe, Shopify, and Amazon. It costs $100 to file and $60 a year. It does not remove sales tax nexus in the states where your buyers are.

Key facts

A Wyoming LLC for ecommerce costs $100 to file and $60 minimum per year. Payment platforms need an EIN, the LLC formation documents, and a business bank account in the LLC's name. Sales tax follows buyer location and economic nexus, not the state of formation. Wyoming charges no state income tax, but profit still passes through to the member's home state return.

Why do ecommerce sellers form a Wyoming LLC?

The first reason is liability separation. Selling as a sole proprietor means a product liability claim, an IP takedown that escalates to litigation, or an unpaid supplier invoice reaches your personal bank account and your house. Selling through an LLC means the claim reaches the LLC. That separation only holds if you actually run the business through the entity, which is why the bank account and the payment processor need to be in the LLC's name rather than yours.

The second is privacy. Wyoming does not list members or managers on the Articles of Organization, so the public record shows the company and the registered agent, not your home address. For sellers whose brand attracts copycats, competitors, or the occasional aggressive customer, that is a real benefit. Read Wyoming LLC privacy for what stays private and what does not.

The third is cost. Wyoming charges $100 to form and $60 a year with no franchise tax and no state business license, which is the cheapest ongoing structure among the popular formation states. The full list is in Wyoming LLC benefits.

What does each platform require from the LLC?

PlatformRequiresPractical note
Shopify PaymentsEIN, LLC formation documents, US business bank accountPayouts route to the account in the LLC's name once the business profile is verified.
StripeEIN, entity details, US bank account, owner identity verificationOnboard as a company rather than an individual so the LLC is the merchant of record.
Amazon Seller CentralEIN, bank account, government ID, verifiable business addressAmazon verifies the entity and the beneficial owner separately; names must match exactly.
EtsyEIN or SSN, bank account matching the shop ownerEtsy collects and remits marketplace sales tax, but you still report the income.
PayPal BusinessEIN, LLC name, bank accountA business account under the LLC keeps buyer disputes off your personal PayPal.
Walmart MarketplaceEIN, W-9 in the LLC's name, business historyApproval is discretionary and reviews the entity, not the individual.

The common thread is the EIN and a matching business bank account. Neither is optional if you want the entity to be the merchant of record. See the EIN application guide and the US business bank account guide.

What order should you set this up in?

Form the LLC first, because the EIN application asks for the legal entity name and formation state. Get the EIN second, because the bank will not open a business account without it. Open the bank account third, because every payment platform wants an account in the LLC's name for payouts. Connect the payment platforms last, using the entity details rather than your personal ones.

Sellers who do this out of order end up with a Stripe account registered to them personally and an LLC that owns nothing, which is the worst of both: the cost of an entity without the separation it exists to provide. If a store is already live under your own name, migrate the processor and bank account to the LLC as soon as the EIN arrives. The formation timeline shows how long each step takes.

What Wyoming formation does not do for sales tax

Sales tax is owed based on where your buyer is and whether you have nexus in that state, not where the LLC was formed. Every state with a sales tax sets an economic nexus threshold, and crossing it creates a registration and collection obligation regardless of the formation state. Marketplace facilitator laws shift that duty to Amazon, Etsy, and Walmart for sales made on their platforms, so the exposure that usually surprises sellers is the direct-to-consumer Shopify store.

Physical presence still counts too. Inventory sitting in a fulfillment center creates presence in that state, and FBA redistributes inventory without consulting you. Income tax follows the same logic: Wyoming charges none, but profit passes through to your personal return and is taxed where you live. If your business acquires real operations in another state, review foreign qualification and the Wyoming LLC tax guide.

One LLC or several for multiple stores?

Most sellers should start with one LLC. Separate entities per brand multiply the filings, EINs, bank accounts, and $60 annual reports without adding protection unless the brands actually carry different risk. A supplements store and a phone case store are not the same risk profile; two variations of the same apparel brand are.

When you do need separation, the Wyoming Series LLC isolates each brand into its own series behind its own shield under one master entity and one annual report. Series LLC vs multiple LLCs works through where each option comes out ahead.

Selling from outside the United States

Wyoming imposes no residency or citizenship requirement, so a seller in Dhaka, Lagos, or Manila can own a Wyoming LLC outright and use it to onboard with US payment platforms that would otherwise be closed to them. The EIN is obtainable without an SSN, and several US banks open business accounts for non-resident-owned LLCs.

The friction is verification, not formation. Platforms and banks will ask for the formation documents, the EIN letter, proof of address, and government ID, and they reject applications where the names do not match exactly across documents. The full sequence for founders outside the US is in the non-resident founder guide.
