1. Service description
Cowboy State Filings ("CSF," "we," "us") provides Wyoming LLC formation services through wyomingllcformation.co. Our services include: preparation and filing of Articles of Organization with the Wyoming Secretary of State, registered agent service in Wyoming, operating agreement drafting, EIN acquisition from the IRS, and bank account application submission to multiple US banks.
2. Not a law firm
Cowboy State Filings is not a law firm and does not provide legal advice. Our services are document preparation and filing services. For legal advice regarding asset protection trusts, litigation, complex multi-entity structures, or specific legal questions, we recommend consulting a licensed attorney. Information on this website is educational and does not constitute legal advice.
3. Pricing and payment
Wyoming LLC formation is $497 total, which includes: $100 Wyoming Secretary of State filing fee, $100 registered agent service (year one), operating agreement template, EIN acquisition, bank account applications to 4-5 banks, and $297 CSF service fee. Payment is processed through Stripe after we review your submission and send a payment link. Additional services (Series LLC setup, holding company subsidiaries, BOI filing) are priced separately as described on our pricing page.
4. Refund policy
Full refund if the state filing has not been submitted to the Wyoming Secretary of State (typically within 24-48 hours of checkout). Partial refund ($200 retained for state filing fee and registered agent setup) if filing has been submitted but EIN and banking have not been started. No refund once EIN has been obtained from the IRS. Banking outcomes depend on third-party bank approval decisions. See our full refund policy.
5. Registered agent service
Year one of registered agent service is included in the $497 formation fee. Renewal is $100 per year, billed on the anniversary of formation. If you do not renew, we will provide 30 days notice before resigning as registered agent. You are responsible for designating a replacement registered agent before our resignation takes effect. Failure to maintain a registered agent may result in the Wyoming Secretary of State revoking your LLC's good standing.
6. Bank account applications
We submit bank account applications to 4-5 US banks on your behalf. Bank approval is at the sole discretion of each bank. We do not guarantee bank account approval. If all banks decline your application, we will assist with alternative options at no additional charge. The LLC, EIN, registered agent service, and operating agreement you received remain yours regardless of banking outcomes.
7. Accuracy of information
You are responsible for providing accurate information in your formation submission. CSF relies on the information you provide to file documents with the Wyoming Secretary of State and IRS. Errors resulting from inaccurate information provided by you are your responsibility. We will correct filing errors caused by CSF at no additional charge.
8. Intellectual property
All content on wyomingllcformation.co, including text, guides, tools, design, and code, is the property of Cowboy State Filings. You may not reproduce, distribute, or create derivative works from our content without written permission.
9. Limitation of liability
CSF's liability is limited to the fees paid for the specific service in question. We are not liable for indirect, consequential, or punitive damages. We are not liable for decisions made by the Wyoming Secretary of State, IRS, banks, or other third parties.
10. Governing law
These terms are governed by the laws of the State of Wyoming. Any disputes arising from these terms or our services will be resolved in the courts of the State of Wyoming.
11. Changes
We may update these terms from time to time. Changes are effective when posted on this page. Continued use of our services after changes constitutes acceptance.
