What does the $497 formation package include?
The $497 formation package covers every service required to go from zero to a fully operational Wyoming LLC with a US bank account. Here is exactly where each dollar goes:
Wyoming Secretary of State Filing Fee: $100
This is the state's fee for filing Articles of Organization under Wyoming Statute Title 17, Chapter 29. WLF pays this directly to the Wyoming Secretary of State on your behalf. The fee is non-negotiable and set by the state. Every formation service pays this same $100 regardless of marketing claims. We pass it through at cost with zero markup.
Registered Agent Service (Year One): $100
Wyoming law requires every LLC to maintain a registered agent service with a physical Wyoming address. WLF serves as your registered agent for the first year, accepting service of process and forwarding state correspondence. This is not a PO box arrangement. WLF maintains a Wyoming physical address that satisfies the statutory requirement under § 17-28-101. Renewal is $100/year starting year two.
Operating Agreement: Included
A Wyoming-tailored operating agreement drafted for your specific member structure (single-member or multi-member). The operating agreement is not required by Wyoming statute to be filed with the state, but it is essential for bank account applications, EIN acquisition, and establishing your LLC's internal governance. Banks will reject applications without one. We draft it to your specifications at no additional cost.
EIN Acquisition (IRS Form SS-4): Included
WLF obtains your Employer Identification Number from the IRS by filing Form SS-4 on your behalf. The IRS charges $0 for EIN issuance. Some competitors charge $70-$150 for this as an add-on; we include it because an LLC without an EIN cannot open a bank account, file taxes, or hire employees. EIN issuance takes 5-7 business days after state filing acceptance.
Bank Account Applications (4-5 Banks): Included
On the same day your EIN arrives, WLF submits applications to Mercury, Relay, Bluevine, and 1-2 additional banks concurrently. Applying to 4-5 banks produces an approximately 90% combined approval rate versus roughly 60% approval at any single bank. Most competitors do not touch banking. We include it because an LLC without a bank account is not operationally functional.
WyomingLLC Formation Service Fee: $297
This is what WLF earns for the work: preparing and reviewing your Articles of Organization, coordinating state filing, drafting your operating agreement, obtaining your EIN, submitting bank applications, providing filing updates, and handling any state correspondence during the formation process. The $297 service fee is the only portion of the $497 that constitutes WLF revenue.
What are the Year 2+ recurring costs?
After formation, your Wyoming LLC has two annual obligations. Both are predictable and fixed.
Wyoming Annual Report: $60
Paid directly to the Wyoming Secretary of State. Due on the first day of the anniversary month of your LLC's formation. The annual report is a one-page filing that confirms your LLC's principal office address, registered agent, and the names and addresses of members or managers (depending on management structure). Wyoming uses the annual report to verify the LLC is still active and its registered agent is current. Failure to file results in administrative dissolution after two consecutive missed reports. Wyoming does not charge a franchise tax, gross receipts tax, or any other annual state-level fee beyond this $60 report.
WLF Registered Agent Renewal: $100/Year
Continues WLF as your statutory registered agent in Wyoming. Includes acceptance and forwarding of service of process, state correspondence, and annual report filing reminders. You can switch to another registered agent at any time by filing a Statement of Change with the Wyoming Secretary of State. No cancellation fee from WLF.
Total annual cost: $160. That is $60 to Wyoming and $100 to WLF. No additional platform fees, compliance monitoring charges, or document storage fees.
What additional services does WLF offer?
Beyond standard single-member and multi-member LLC formation, WLF offers the following services at fixed, published prices.
Series LLC: $497 + $150 Series Setup
A Wyoming Series LLC under § 17-29-1101 creates a master LLC with individual series that hold separate assets and liabilities. Common for real estate investors holding multiple properties. The $497 covers the master LLC formation (identical to standard formation). The $150 series setup fee covers drafting the series operating agreement addendum and filing the series designation with the Secretary of State. Additional series can be added later.
Holding Company Structure: Per-Quote Pricing
A Wyoming LLC parent entity owning operating subsidiaries in other states. Holding company structures involve multi-state filing coordination, multiple operating agreements, and layered governance. Because the scope varies significantly by client, WLF prices these on a per-quote basis after a consultation call. Typical range is $800-$2,000 depending on the number of subsidiaries and states involved.
BOI Filing: $150 Per Filing
Beneficial Ownership Information reporting to FinCEN under the Corporate Transparency Act. As of the March 21, 2025 interim final rule, domestic reporting companies (including Wyoming-formed LLCs) are currently exempt. If requirements change, WLF handles the filing for $150 per report. Check the BOI Status Tracker for current enforcement status.
Registered Agent (Standalone): $100/Year
If you already have a Wyoming LLC and need a registered agent only, WLF provides standalone registered agent service for $100/year. Includes service of process acceptance, state correspondence forwarding, and annual report reminders. File a Statement of Change with the Wyoming Secretary of State naming WyomingLLC Formation as your new registered agent to switch.
What are the multi-LLC discounts?
Clients forming multiple Wyoming LLCs receive automatic volume discounts applied to the WLF service fee portion of each additional LLC. The $100 state filing fee and $100 registered agent fee remain fixed per entity because those are pass-through costs.

What payment methods does WLF accept?
WLF processes payments through Stripe, which supports the following methods:
- Credit and debit cards: Visa, Mastercard, American Express, Discover. Processed instantly through Stripe.
- ACH bank transfer: Direct debit from a US bank account. Takes 3-5 business days to clear. Filing begins after payment clears.
- Wire transfer: Available for non-US clients who cannot use Stripe's standard payment methods. Contact us for wire instructions. Wire fees are the sender's responsibility.
WLF does not accept cryptocurrency. We have no plans to accept crypto payments. State filing fees must be paid in USD to the Wyoming Secretary of State, and Stripe does not process cryptocurrency. Clients who ask about crypto payments are better served by consulting a tax attorney about their specific structure needs.
What is the WLF refund policy?
WLF's refund policy is based on how far the formation process has progressed. There are three tiers:
Full Refund: Filing Not Yet Submitted
If WLF has not yet submitted your Articles of Organization to the Wyoming Secretary of State, you receive a full $497 refund. No questions asked. This covers the period between payment and state filing submission, 24-48 hours.
Partial Refund ($200 Retained): Filing Submitted, EIN Not Yet Obtained
If WLF has submitted your Articles of Organization but the EIN has not yet been obtained from the IRS, a partial refund of $297 is issued. The $200 retained covers the $100 state filing fee (already paid to Wyoming, non-refundable by the state) and $100 registered agent service (already activated). The Wyoming Secretary of State does not refund filing fees for accepted filings.
No Refund: EIN Obtained
Once the EIN has been obtained from the IRS, all services have been substantially performed: state filing accepted, registered agent active, operating agreement drafted, and EIN issued. No refund is available at this stage. Bank account applications, if not yet submitted, will still be completed as part of the original engagement.
Full refund policy details are available at /refund-policy/.
