Wyoming LLC Formation Timeline: Day-by-Day Breakdown

By {AUTHOR_OPS_NAME}, Director of Filing Operations | Published May 15, 2026

Wyoming LLC formation follows a sequential process where each step depends on the previous one. This guide provides a day-by-day breakdown of the typical CSF formation timeline, from initial form submission through bank account approval, with explanations of what happens at each stage and what can cause delays.

Day 1: Submit the Intake Form

The formation process begins when you submit the 60-second intake form at /start/. The form collects your preferred LLC name and one or two alternates, your mailing address, management structure preference (member-managed or manager-managed), member names and ownership percentages, and basic contact information. Within sixty seconds of submission, you receive an automated confirmation email acknowledging receipt. This email contains a reference number for your filing. Within one business day, a CSF filing specialist reviews your submission for completeness and accuracy. The specialist checks name availability against the Wyoming Secretary of State database. If your preferred name is available, the specialist prepares the Articles of Organization. If the name is unavailable under § 17-29-108, the specialist contacts you to select an alternative name from your list or propose a new one. After review, the specialist sends a Stripe payment link for $497 via email.

Day 1-2: Payment and Filing Preparation

Upon receiving the Stripe payment link, you complete the $497 payment securely through Stripe. Stripe accepts major credit cards, debit cards, and ACH bank transfers. The payment covers the entire formation package: $100 Wyoming Secretary of State filing fee, $100 registered agent service year one, operating agreement drafting, EIN acquisition, and bank account applications. After payment confirmation, CSF finalizes the Articles of Organization for filing. The Articles are prepared based on the information you provided, with CSF designated as the registered agent and the CSF Wyoming office address listed as the registered agent address. The management structure is set per your instruction. CSF serves as the organizer on the Articles, so the CSF address appears in the organizer field rather than your personal address. A filing specialist reviews the completed Articles one final time before submission to the Wyoming Secretary of State. The review confirms name availability, correct registered agent designation, proper LLC designator in the name, and accurate mailing address.

Day 2-3: Articles Filed with Wyoming Secretary of State

Within twenty-four to forty-eight hours of payment, CSF files the Articles of Organization with the Wyoming Secretary of State through the online filing system at sos.wyo.gov. The $100 state filing fee is paid electronically at the time of submission. CSF receives an immediate confirmation of receipt from the Secretary of State’s system, including a filing reference number. At this point, the Articles are in the Secretary of State’s processing queue. The Secretary of State reviews the filing for statutory compliance: correct name format under § 17-29-108, distinguishable name, valid registered agent designation under § 17-28-101, and complete required information under § 17-29-201. If everything is in order, the filing is accepted and the LLC is legally formed. If there is an issue, the Secretary of State notifies CSF of the rejection reason. CSF corrects and resubmits at no additional charge. Rejection is rare for CSF filings because every filing is reviewed by a specialist before submission.

Day 3-5: Wyoming SOS Approves Articles (1-3 Business Days)

The Wyoming Secretary of State typically processes Articles of Organization within one to three business days of receipt. During peak filing periods, processing may extend to four or five business days, but this is uncommon. Upon approval, the Secretary of State stamps the Articles with the filing date and assigns a unique entity number to the LLC. The approved Articles become part of the public record and are searchable on the Secretary of State website. CSF downloads the approved and stamped Articles from the Secretary of State system on the same business day they become available. CSF verifies the accuracy of the filing, confirms the correct LLC name, registered agent designation, and management structure, and forwards the approved Articles to you via email. At this point, your Wyoming LLC is a legally formed entity. CSF sends you a milestone update confirming state filing acceptance and outlining the next steps: EIN application and operating agreement drafting. Both of these steps begin immediately upon state filing acceptance and proceed in parallel to compress the overall timeline.

Day 5-7: EIN Obtained from the IRS

After the Articles are accepted, CSF files IRS Form SS-4 to obtain the Employer Identification Number. For responsible parties with a US Social Security Number, the online application results in immediate EIN issuance. CSF typically submits the online application within one to two business days of state filing acceptance, placing EIN receipt at approximately day five to seven of the overall timeline. The EIN confirmation, IRS Notice CP 575, is forwarded to you via email. For non-US residents without an SSN or ITIN, Form SS-4 must be faxed to the IRS. This extends the EIN step to four to six weeks. The fax is sent to (855) 215-1627. CSF monitors for the IRS fax response and follows up if the response is not received within the expected timeframe. While waiting for the EIN, CSF proceeds with drafting the operating agreement because the operating agreement does not depend on the EIN. This parallel processing ensures that when the EIN arrives, all other documents are ready and bank applications can be submitted immediately. See our EIN application guide for the complete process.

Day 5-7: Operating Agreement Drafted (Concurrent)

While the EIN application is being processed, CSF drafts the operating agreement. This happens concurrently with the EIN step, not sequentially, to save time. The operating agreement is prepared using the CSF Wyoming-tailored template, customized with the LLC name as it appears on the approved Articles, member names and ownership percentages, management structure matching the Articles, initial capital contribution amounts provided during intake, and Wyoming-specific statutory references including charging order provisions under § 17-29-503 and operating agreement authority under § 17-29-110. The completed operating agreement is delivered to you as a PDF for review and signature. For single-member LLCs, the sole member signs the operating agreement. For multi-member LLCs, all members sign. The signed operating agreement is needed for bank account applications. CSF coordinates the timing so that the operating agreement is ready before or at the same time as the EIN, ensuring no delay in bank application submission. For detailed operating agreement content, see our operating agreement guide.

Day 7-10: Bank Applications Submitted to 4-5 Banks

Once the EIN is in hand and the operating agreement is signed, CSF submits bank account applications to four to five banks concurrently. The application package for each bank includes the approved Articles of Organization, EIN confirmation letter, signed operating agreement, government-issued photo identification for beneficial owners, and any bank-specific forms or questionnaires. CSF selects which banks to apply to based on your residency status, business type, and specific banking needs. The standard bank set includes Mercury, Relay, and Bluevine, plus one to two additional banks. For non-US residents, CSF prioritizes banks that accept remote international applications. Applications are submitted on the same business day or next business day after EIN receipt. CSF tracks each application and communicates approval notifications, information requests from banks, and any required follow-up actions. The concurrent submission strategy achieves approximately 90% combined approval probability. For the full banking strategy, see our bank account guide.

Day 10-15: First Bank Approval Typically Received

The first bank approval typically arrives within eight to ten days of bank application submission, placing it at approximately day ten to fifteen of the overall formation timeline. Mercury tends to be among the fastest responders at three to five business days. Relay and Bluevine typically respond within five to seven business days. Other banks may take seven to fourteen business days. When a bank approves the account, CSF notifies you immediately. The bank provides account details, online banking access credentials, and instructions for funding the account. If multiple banks approve the application, you choose which account to use as your primary business account. The others can be maintained as backup accounts or closed. CSF provides a summary of all application outcomes and recommendations on which bank best fits your needs. At this point, formation is complete. You have a legally formed Wyoming LLC with approved Articles on file with the Secretary of State, a registered agent in Wyoming, an operating agreement, an EIN, and a business bank account. Total elapsed time from Stripe payment to full setup averages ten to fifteen days for US-based responsible parties.
