What a Registered Agent Does

A registered agent is a person or entity designated to receive legal and state documents on behalf of your Wyoming LLC. Wyoming Statute § 17-28-101 defines the registered agent as the LLC’s official point of contact for service of process, which includes lawsuits, subpoenas, and other legal notices that must be formally delivered. Beyond litigation documents, the registered agent receives all correspondence from the Wyoming Secretary of State, including annual report reminders, compliance notices, and administrative communications. The registered agent maintains a physical street address in Wyoming where documents can be delivered in person during normal business hours. This address is listed on the Wyoming Secretary of State public records. The agent forwards all received documents to the LLC owner promptly. At Cowboy State Filings, we forward documents same-day via email with scanned copies, and physical originals are mailed within one business day. The registered agent role is continuous and cannot lapse without risking administrative action against the LLC.

Why You Need One

Wyoming Statute § 17-29-209 requires every Wyoming LLC to maintain a registered agent continuously. This is not optional. The registered agent must have a Wyoming physical street address and must be available during business hours to accept service of process. If your LLC fails to maintain a registered agent, the Wyoming Secretary of State issues a notice of noncompliance. Under § 17-29-709, if the deficiency is not cured within 60 days, the Secretary of State may commence administrative dissolution proceedings. A dissolved LLC loses its legal standing, cannot enforce contracts, cannot sue or be sued in its own name, and loses the liability protection that is the primary reason for forming an LLC. Reinstatement after dissolution requires filing back annual reports, paying accumulated fees and penalties, and filing articles of reinstatement. The cost and complexity of reinstatement far exceed the $100 annual cost of maintaining a registered agent. For LLC owners who do not reside in Wyoming, a professional registered agent is the only practical option to satisfy the statutory requirement.

CSF Registered Agent Service Details

Cowboy State Filings provides a physical Wyoming street address that is listed as your registered agent address on all Wyoming Secretary of State filings. We maintain availability during Wyoming business hours, Monday through Friday, eight AM to five PM Mountain Time, to accept service of process and all state correspondence. When documents arrive, we scan and forward them via email the same business day. Physical originals are mailed to your designated address within one business day. We send compliance reminders 60 days and 30 days before your annual report deadline to prevent inadvertent administrative dissolution. We also send registered agent renewal reminders 60 days before your anniversary date. Our service includes monitoring the Wyoming Secretary of State database for any filings or notices related to your LLC. We do not sell your information, do not upsell additional services during the engagement, and do not increase pricing without 90 days written notice. The registered agent address is used only for official state and legal correspondence. It is not a virtual office, mail forwarding service, or business address for commercial use.

Pricing

CSF registered agent service costs $100 per year. Year one is included in the $497 LLC formation package at no additional charge. Starting in year two, the $100 renewal fee is invoiced 60 days before your LLC anniversary date. Combined with the $60 Wyoming annual report fee paid directly to the Secretary of State, your total annual compliance cost is $160 per year. There are no setup fees, no per-document forwarding fees, no scanning fees, and no cancellation fees. If you are forming a new LLC through CSF, the registered agent designation is handled automatically as part of the Articles of Organization filing. If you are an existing LLC switching to CSF, we prepare and file the Statement of Change with the Secretary of State at no extra charge beyond the $100 annual fee. The $5 state filing fee for the Statement of Change is included. Compare to competitors charging $150 to $300 per year for registered agent service with additional fees for document forwarding, compliance reminders, or annual report filing assistance that CSF includes at no extra cost.

How to Switch to CSF

Switching your registered agent to Cowboy State Filings requires a single filing: the Statement of Change of Registered Agent, submitted to the Wyoming Secretary of State. The state filing fee is $5. CSF prepares the Statement of Change, files it electronically with the Secretary of State, and pays the $5 fee on your behalf at no additional charge beyond your $100 annual registered agent fee. The process takes one to three business days for state processing. Once accepted, CSF becomes your registered agent of record immediately. Your previous registered agent is automatically released from their obligation upon state acceptance of the change. No consent from your previous agent is required. You do not need to notify your previous agent separately; the Secretary of State filing serves as official notice. To initiate the switch, contact CSF with your LLC name, Wyoming Secretary of State filing number, and current registered agent name. We verify your LLC status, confirm good standing, prepare the filing, and submit within one business day. The entire process from initial contact to completed switch typically takes three to five business days including state processing time.

Can You Be Your Own Registered Agent?

Yes, Wyoming law permits an individual to serve as their own registered agent, provided two conditions are met. First, the individual must maintain a physical street address in Wyoming. A PO Box does not qualify under § 17-28-101. Second, the individual must be available at that address during normal business hours to accept service of process in person. If you travel, work remotely, or are not consistently present at your Wyoming address during business hours, you risk missing service of process, which can result in default judgments entered against your LLC. Additionally, your personal Wyoming address becomes part of the public record on the Secretary of State website. Anyone searching your LLC name can see your home address. For LLC owners who do not live in Wyoming, serving as your own registered agent is not possible. For Wyoming residents who value privacy or who cannot guarantee availability during business hours, a professional registered agent at $100 per year eliminates these risks. Most CSF clients choose professional agent service for privacy, reliability, and compliance assurance.
