How to Switch Your Wyoming Registered Agent

Switching your Wyoming registered agent requires a single filing with the Secretary of State and a $5 fee. The change is effective immediately. This guide covers when to switch, the process, required information, what happens to the old agent, and how CSF handles incoming transfers.

When to Switch Your Registered Agent

There are several common reasons LLC owners switch registered agents. Poor service is the most frequent driver. If your current registered agent is slow to forward documents, fails to send compliance reminders, or is unresponsive to inquiries, switching to a more reliable provider prevents missed deadlines and overlooked legal notices. Cost savings motivate some switches. Premium registered agent services charging $200 or more per year may not provide significantly better service than mid-range providers at $100 per year. Consolidation is another reason. If you have multiple LLCs using different registered agents, consolidating all entities under one registered agent simplifies management and ensures consistent document handling. Some LLC owners switch because they formed their LLC through a service that bundled a registered agent they did not choose, and they prefer a Wyoming-based specialist. Others switch because their current registered agent is resigning or going out of business. Under § 17-28-106, if a registered agent resigns, the LLC has 60 days to appoint a replacement before facing potential administrative dissolution.

The Switching Process: Statement of Change

Switching your Wyoming registered agent requires filing a Statement of Change of Registered Agent with the Wyoming Secretary of State. The process has four steps. Third, file the Statement of Change online through the Secretary of State website. The filing fee is $5, paid electronically at the time of submission. Fourth, receive confirmation from the Secretary of State that the change has been accepted. Online filings are typically processed the same business day or next business day. Upon acceptance, the LLC record on the Secretary of State website reflects the new registered agent immediately.

Timeline: Effective Immediately Upon Filing

The registered agent change is effective immediately upon the Wyoming Secretary of State accepting the Statement of Change. There is no waiting period. There is no transition window. There is no approval process beyond the Secretary of State confirming that the filing is complete and the new registered agent has a valid Wyoming address. For online filings, the entire process from submission to acceptance typically takes one business day or less. The Secretary of State’s online database updates immediately upon acceptance, so anyone searching your LLC on the Secretary of State website will see the new registered agent as soon as the filing is processed. This immediate effectiveness means there is no gap in registered agent coverage. The old agent ceases and the new agent begins at the same moment. Service of process or state correspondence delivered to the old agent’s address after the change is effective may not be received by the LLC if the old agent does not forward it. This is why CSF recommends completing the switch promptly rather than letting it linger in planning stages.

Required Information for the Filing

The Statement of Change requires the following information. The LLC name exactly as it appears on the Secretary of State records. This must match precisely, including any punctuation, spacing, and the LLC designator. The Wyoming filing number, also called the entity ID, which is assigned by the Secretary of State when the LLC is formed. This number can be found on the original Articles of Organization or by searching the Secretary of State website. The name of the new registered agent. The Wyoming physical street address of the new registered agent. This must be a street address in Wyoming, not a PO Box, and the agent must be available at this address during normal business hours per § 17-28-101. The signature of a person authorized to act on behalf of the LLC, typically a member in a member-managed LLC or a manager in a manager-managed LLC. The $5 filing fee. No supporting documents are required. No consent letter from the outgoing registered agent is needed. No Articles of Amendment are required. The Statement of Change is a standalone filing that only updates the registered agent designation.

What Happens to the Outgoing Registered Agent

When the Secretary of State accepts the Statement of Change, the outgoing registered agent’s appointment ceases immediately. The outgoing agent is no longer responsible for accepting service of process or forwarding documents for your LLC. The outgoing agent’s address is removed from the LLC record on the Secretary of State website and replaced with the new agent’s address. Some outgoing registered agents may forward any documents received during a brief transition period as a professional courtesy, but they are not legally obligated to do so after the change is effective. If the outgoing agent was part of a bundled formation service, switching the registered agent does not affect any other services provided by that formation company. The registered agent change is independent. If you were paying an annual fee to the outgoing registered agent, the fee obligation depends on the terms of your agreement with that provider. Some providers offer pro-rata refunds for the unused portion of a prepaid annual term. Others do not. CSF does not charge early termination fees or lock-in contracts. If a client switches away from CSF, we cooperate fully with the transition.

No Gap in Coverage: Seamless Transition

A common concern when switching registered agents is whether there will be a gap during which the LLC has no registered agent. The answer is no. The Statement of Change simultaneously terminates the old agent’s appointment and establishes the new agent’s appointment. There is no moment during which the LLC is without a registered agent. This is by design. Wyoming Statute requires every LLC to maintain a registered agent at all times. The Statement of Change filing mechanism ensures continuity. Compare this to a registered agent resignation under § 17-28-106, where the resigning agent files a statement of resignation and the LLC has 60 days to appoint a replacement. During those 60 days, the LLC technically does not have a functioning registered agent, and service of process may be directed to the Secretary of State under § 17-28-104. A voluntary switch through a Statement of Change avoids this gap entirely. This is why proactive switching before problems arise is preferable to waiting until the current agent resigns or becomes unreliable.
